These Terms of Use (“Terms”) govern access to and use of the website at whatnextai.com and its subdomains (the “Site”), operated by WhatNext Ltd (Company No. 517203642), an Israeli company with its registered office at 4 Gershon Shatz St., Tel Aviv-Yafo, Israel, doing business as “WhatNextAI” (“WhatNext”, “we”). By using the Site you accept these Terms; if you do not agree, please do not use the Site. Use of the WhatNext platform and services is governed by a separate signed agreement between WhatNext and the customer, which prevails over these Terms in case of conflict.
1. The Site and informational content
The Site provides information about WhatNext’s execution-and-governance platform and services. Content is provided for general information only — it is not an offer capable of acceptance, nor professional, legal or investment advice. Product descriptions and plans may change without notice.
2. License to use the Site
We grant you a limited, revocable, non-exclusive, non-transferable right to access and view the Site for internal business evaluation purposes. All other rights are reserved.
3. Intellectual property
The Site and all its content — text, graphics, logos, product names, page design, software and compilations — are owned by WhatNext or its licensors and protected by Israeli and international intellectual-property laws, including the Copyright Law, 5768-2007. “WhatNext” and “WhatNextAI” are trade names of WhatNext Ltd. No content may be copied, scraped, framed, or used to train machine-learning models without our prior written consent.
4. Acceptable use
- No unlawful use; no interference with the Site’s operation or security (including probing, scanning or penetration testing without written permission);
- No automated scraping, harvesting of contact data, or bulk downloading;
- No misrepresentation of affiliation with WhatNext;
- No uploading of malicious code;
- No use of Site content to build or benchmark a competing product.
5. Submissions
If you submit ideas, feedback or suggestions through the Site, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation. Please do not submit confidential information through public Site forms; anything submitted is deemed non-confidential (personal data excepted — see our Privacy Policy).
6. Third-party links
Links to third-party sites are provided for convenience. We do not endorse and are not responsible for their content or privacy practices.
7. Privacy
Our collection and use of personal data through the Site is described in our Privacy Policy, which forms part of these Terms by reference.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. NOTHING IN THIS SECTION LIMITS RIGHTS THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
9. Limitation of liability
To the maximum extent permitted by law, WhatNext and its officers, employees and contractors shall not be liable for any indirect, incidental, consequential, special or punitive damages, or loss of profits, data or goodwill, arising from use of the Site. Our aggregate liability in connection with the Site shall not exceed US $100. This section does not exclude liability that cannot be excluded by law.
10. Indemnity
You will indemnify WhatNext against third-party claims arising from your breach of these Terms or misuse of the Site.
11. Changes
We may amend these Terms by posting an updated version. Material changes take effect 14 days after posting (immediately where required by law or to address security), and will be flagged by a notice on the Site; where we hold your contact details, we will also notify you by e-mail. Non-material changes take effect on posting.
12. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction.
13. General
If any provision is held unenforceable, the remainder stays in force. Failure to enforce is not a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger or sale. These Terms, together with the Privacy Policy, are the entire agreement regarding use of the Site.
